Terms of Service
1. Purpose
These Terms of Service ("Terms") govern the relationship between Gilbreth ("the Company") and users ("Users") regarding the use of Nurly ("the Service"). They outline the rights, obligations, and responsibilities of both parties in connection with the Service.
2. Effect and Modification of the Terms
1.
These Terms take effect upon being posted within the Service.
2.
The Company may revise these Terms within the limits permitted by applicable laws.
3.
When changes are made, the Company will notify Users of the effective date and reasons for modification via the Service.
4.
If a User does not agree to the revised Terms, they may discontinue use of the Service and request account deletion. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.
3. Definitions
The key terms used in these Terms are defined as follows:

"Service" refers to the Nurly web-based service operated by the Company and all related features or functionalities.
2.
"User" refers to anyone who agrees to these Terms and uses the Service provided by the Company.
3.
"Member" refers to a User who has registered an account to use the Service on a continuous basis.
4.
"Content Source" ("Source") refers to any text, URL, video, image, or other information input or uploaded by a User within the Service.
4. Provision and Modification of the Service
1.
The Company provides the following Services:

Conversion of content sources into Threads-style posts
•
Publishing of posts and performance analytics
•
Any additional services developed or provided by the Company in the future
2.
The Company may modify, suspend, or discontinue parts of the Service for operational or technical reasons and will notify Users in advance when significant changes occur.
3.
The Company may introduce paid features or convert certain free features into paid ones with prior notice and consent.
5. Use of the Service
1.
Users may access limited features without creating an account.
2.
Registered Members gain access to additional functionalities.
3.
The Company may restrict or suspend a User's access to the Service when necessary for security, maintenance, or operational reasons.
4.
Users must not engage in any of the following acts while using the Service:

Using false or stolen personal information
•
Infringing upon the intellectual property rights of third parties
•
Interfering with normal Service operation
•
Violating applicable laws or public order and morality
6. Privacy Protection
The Company complies with the Personal Information Protection Act and other relevant laws to safeguard Users' personal data. Details on the collection, use, storage, and processing of personal information are outlined separately in the Privacy Policy.
7. Management and Ownership of Content Sources
1.
The copyright of any content source input or uploaded by a User belongs to the original creator of that content.
2.
Users must have the legal right or license to use and upload the content sources they provide to the Service.
3.
The Company does not claim ownership of any User-submitted content and processes such data only within the scope necessary to provide and improve the Service.
4.
Users are solely responsible for any legal issues or claims arising from the use of third-party content, including violations of copyright, portrait rights, or trademarks.
5.
Nurly does not use User-submitted data for any purpose other than providing the Service, and deleted content sources cannot be recovered once removed.
8. Paid Services and Payment
1.
Certain features of the Service may be provided on a paid basis. Pricing, payment terms, and conditions will be announced separately.
2.
Users can purchase paid services through the in-app payment process.
3.
Refunds and cancellations for paid services are subject to relevant laws and the Company's refund policy.
9. Copyright and Responsibility for User Content
1.
The copyright for any posts or content shared within the Service belongs to the User who uploaded them.
2.
The User bears full responsibility for any legal issues arising from the content they post.
3.
The Company reserves the right to remove content that violates laws, infringes on others' rights, or is otherwise deemed inappropriate, without prior notice.
10. Disclaimer of Liability
1.
The Company is not responsible for Service interruptions caused by natural disasters, server failures, partner API errors, or other force majeure events.
2.
When Users connect Nurly with external platforms such as Threads, the Company is not liable for issues caused by those platforms' policy changes, outages, or errors.
3.
The Company does not guarantee the accuracy, reliability, or legality of any content created or posted by Users through the Service.
11. Suspension and Termination of the Service
1.
Users may discontinue use of the Service or delete their accounts at any time.
2.
The Company may restrict or terminate access to the Service, with prior notice, under the following circumstances:

The User violates these Terms
•
The User significantly disrupts Service operations
•
The Service can no longer be lawfully provided
3.
If the Company must discontinue the Service for unavoidable reasons, Users will be notified in advance.
12. Limitation of Liability and Indemnification
1.
The Company shall not be liable for any damages incurred by Users unless caused by willful misconduct or gross negligence.
2.
If a User violates these Terms and causes damage to the Company, the User shall compensate the Company for such damages.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of Korea. Any disputes arising in connection with the Service shall be subject to the jurisdiction of the competent courts under the Civil Procedure Act of Korea.
